1. Acceptance of Terms
By accessing or using Rosie's platform, website, mobile application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.
These Terms apply to all users of the Service, including families seeking care, caregivers providing services, and any other visitors or users of the platform.
2. Description of Service
Rosie operates a technology platform that connects families seeking childcare services with qualified caregivers. Our services include:
- Automated matching based on preferences, requirements, and compatibility
- Background verification and reference checks
- Interview and trial coordination and support
- Contract drafting and guidance
- (Coming Soon) Payment processing and billing management
- Ongoing support and consultation
- Dispute resolution assistance
IMPORTANT: Rosie is a technology platform that facilitates connections between families and caregivers. We do not provide childcare services directly, nor do we employ caregivers. The actual care relationship is between families and caregivers.
3. User Accounts and Eligibility
To use our Service, you must create an account and provide accurate, complete information. You must be at least 18 years old and legally capable of entering into binding contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Types:
- Family Accounts: For individuals or families seeking childcare services
- Caregiver Accounts: For qualified individuals providing childcare services
You may not transfer your account to another person or use another person's account without permission.
4. Fees and Payment
Family Fees: Families pay an annual subscription fee of $499 to access Rosie. They pay an additional 2% of the caregiver's 6-month salary or full salary (if shorter than 6 months) per successful placement. The fees covers our matching services, background checks, human concierge services, payment and billing support, and ongoing support.
Caregiver Fees: Caregivers may join our platform at no cost. We do not charge caregivers for registration, matching, or placement services.
Payment Processing: All payments are processed securely through Stripe. By using our Service, you agree to Stripe's terms of service and privacy policy. We do not store credit card information.
Refund Policy: Due to the personalized nature of our matching services and the costs involved in background checks and verification, all fees are non-refundable once services have been rendered.
Guarantee Period: We offer a 180-day guarantee on successful placements. If a placement ends within 180 days due to unsatisfactory performance or termination not caused by the family, we will provide replacement services at no additional cost. This guarantee does not apply to placements that end due to family circumstances, relocation, or other factors beyond our control.
5. Background Checks and Verification
Rosie conducts background checks and verification processes for caregivers, which may include:
- Criminal background checks
- Reference verification
- Identity verification
- Work eligibility verification
- Driving record checks (when applicable)
- Social media screening
IMPORTANT DISCLAIMER: While we strive to provide accurate verification, no background check is 100% comprehensive. Families are responsible for making their own informed decisions about caregiver suitability. We recommend families conduct their own due diligence, including in-person interviews and reference checks.
6. User Responsibilities
All Users Must:
- Provide accurate, truthful, and complete information
- Maintain the confidentiality of their account
- Comply with all applicable laws and regulations
- Respect the privacy and safety of others
- Not use the Service for any illegal or unauthorized purpose
Families Must:
- Provide accurate information about their childcare needs
- Maintain a safe working environment
- Comply with employment laws and regulations
- Pay agreed-upon wages and provide required benefits
- Obtain necessary insurance coverage
Caregivers Must:
- Have legal authorization to work in the United States
- Maintain required certifications (CPR, First Aid, etc.)
- Provide safe, professional childcare services
- Follow all safety protocols and guidelines
- Maintain professional boundaries and confidentiality
7. Prohibited Conduct
Users may not:
- Circumvent our platform to avoid fees
- Share or misuse personal information of other users
- Create false or misleading profiles
- Engage in harassment, discrimination, or abuse
- Violate any applicable laws or regulations
- Interfere with or disrupt the Service
- Use automated systems to access the Service without permission
8. Employment Relationship
Independent Contractor Relationship: Rosie facilitates connections between families and caregivers but does not create an employment relationship with either party. Families and caregivers are responsible for determining the nature of their working relationship (employee vs. independent contractor) and complying with all applicable employment laws.
Employment Obligations: Families may be required to:
- Withhold and pay applicable taxes
- Provide workers' compensation insurance
- Comply with wage and hour laws
- Maintain payroll records
- Provide required benefits
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ROSIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, OR ANY OTHER DAMAGES ARISING FROM:
- The conduct of caregivers or families
- The quality of childcare services provided
- Any accidents, injuries, or incidents during care
- Employment disputes between families and caregivers
- Inaccuracies in background checks or verifications
- Technical failures or interruptions of the Service
AGGREGATE LIABILITY CAP: In no event shall Rosie's total liability exceed the amount paid by the user for services in the twelve (12) months preceding the claim.
10. Disclaimers
SERVICE PROVIDED "AS IS": The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
NO GUARANTEE OF RESULTS: We do not guarantee that families will find suitable caregivers or that caregivers will find employment. Successful matches depend on numerous factors beyond our control.
BACKGROUND CHECK LIMITATIONS: Background checks are not infallible and may not reveal all relevant information. Families are responsible for their own safety and security decisions.
11. Indemnification
You agree to indemnify, defend, and hold harmless Rosie and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- The care relationship between families and caregivers
- Any content you submit to the Service
12. Confidentiality
Mutual Confidentiality: All parties agree to maintain the confidentiality of non-public information obtained through the Service. This includes but is not limited to:
- Personal and family information
- Financial information and compensation details
- Home security information (alarm codes, cameras, etc.)
- Medical information and special needs
- Business and professional information
- Any proprietary information about Rosie's operations
Caregiver Confidentiality: Caregivers agree to maintain strict confidentiality regarding all family information and may not discuss, share, or disclose any information about the family, children, or household with third parties without explicit written consent.
13. Force Majeure
Neither party shall be liable for any delay or failure to perform any obligation under these Terms if such delay or failure is due to circumstances beyond their reasonable control, including but not limited to:
- Acts of God, natural disasters, or severe weather
- War, terrorism, or civil unrest
- Government actions, regulations, or orders
- Pandemic, epidemic, or public health emergencies
- Labor strikes or disputes
- Technical failures or cyber attacks
The affected party must promptly notify the other party of the force majeure event and make reasonable efforts to minimize the impact and resume performance as soon as possible.
14. Protection Orders and Safety
Safety Compliance: All parties must comply with applicable safety regulations and requirements, including but not limited to:
- Reporting any safety concerns or incidents immediately
- Maintaining current CPR and First Aid certifications
- Following all child safety protocols and guidelines
- Complying with any protection orders or legal restrictions
- Disclosing any criminal history or legal issues that may affect suitability
Mandatory Reporting: All parties acknowledge their obligations under mandatory reporting laws and agree to report suspected child abuse or neglect to appropriate authorities.
15. Professional Standards
Caregiver Standards: All caregivers must maintain professional standards including:
- Adherence to the National Association for the Education of Young Children (NAEYC) Code of Ethical Conduct
- Maintaining professional boundaries with families
- Continuing education and professional development
- Compliance with all applicable licensing and certification requirements
- Professional appearance and conduct
16. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.
We may record and transcribe interviews and conversations for quality assurance and matching purposes. You consent to such recording and transcription by participating in our Service.
17. Dispute Resolution
Mediation: Before initiating any legal proceeding, parties agree to attempt resolution through mediation administered by a mutually agreed-upon mediator or mediation service.
Arbitration: Any dispute that cannot be resolved through mediation shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in [Your State/City], and the arbitrator's decision shall be final and binding.
Class Action Waiver: You agree that any dispute resolution proceeding will be conducted only on an individual basis and not as part of any class, consolidated, or representative action.
18. Termination
We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.
Upon termination, your right to use the Service will cease immediately, but the terms regarding limitation of liability, indemnification, and dispute resolution will survive termination.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of King County, Washington.
20. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
